    0. Welcome + Agenda

  10. ralphm

    Hi!

  11. MattJ

    Hi!

  12. ralphm

Who do we have? Agenda bashings?

  13. jcbrand

    hi

  14. arc

    Here

  15. ralphm

Full house, nice! If there's no feedback on the agenda, then let's move on.

  16. MattJ

    None from me

  17. ralphm

    1. Minute Taker

  18. jcbrand

I can take minutes if you're ok with waiting a few days

  19. ralphm

    Yay!

  20. ralphm

    2. Election of Chair of the Board

  21. ralphm

I'll copy in the text I put in the e-mail to board@:

  22. ralphm

Ad 2 + 3 As per our bylaws, section 6, we elect or appoint our Officers, namely Chair, Executive Director (& CEO), Secretary, and Treasurer. So far, this has usually been done by electing the Chair from among the Directors, and appointing (or reaffirming) the other Officers. However, as the bylaws indicate, each of these roles may be filled by non-members, and Board can choose how to appoint or elect then. I'd be happy to be candidate for Chair for another year. Matt, Alex, Peter, would you want to be re-appointed for another year?

  23. ralphm

    Nominations?

  24. jcbrand

    I nominate Ralphm 🙂

  25. arc

    Seconded

  26. Alex

I volunteer again for another year

  27. ralphm

Alex: thanks, I'll note that at the next agenda item ;-)

  28. ralphm

    MattJ?

  29. MattJ

    Sorry, back

  30. MattJ

I'm happy to continue as ED

  31. ralphm

MattJ: we're at 2. still. Chair. Do you have nominations or seconds?

  32. MattJ

Oh, sorry, I missed the other questions. Happy to second you continuing as chair.

  33. arc

Give it up Ralph, we're never going to let you out of the position.

  34. ralphm

Well, I guess that means Board has re-appointed me as Chair. Thanks guys!

  35. ralphm

    3. Confirmation of Officers

  36. ralphm

I motion we re-appoint Alex as Secretary, Peter as Treasurer, and Matt as ED.

  37. ralphm

    +1

  38. arc

    +1

  39. jcbrand

    +1

  40. ralphm

(for the record, Peter sent a message that he'd be happy to serve again)

  41. MattJ

    Then +1

  42. ralphm

    Motion carries. Thanks!

  43. ralphm

    4. Council Liaison

  44. ralphm

“I understand that Council is voted on Daniel as their Chair, with Jonas continuing to be their liaison to the Board. Kev remarked that initially the Council Chair was the automatic liaison. I don't have a problem with the arrangement proposed by Council. Let's discuss / confirm in the meeting.”

  45. MattJ

    I'm happy with this arrangement

  46. jcbrand

    Me too

  47. ralphm

    +1

  48. Kev

To be clear, Kev pointed that out and said he doubted anyone would care, rather than trying to cause trouble.

  49. ralphm

Thanks Kev, for relaying Kev's intent.

  50. ralphm

    arc?

  51. arc

    +1

  52. arc

My name is Arc and I approve this message

  53. ralphm

    Confirmed

  54. ralphm

arc: put that on a t-shirt!

  55. ralphm

    5. Vacancy on Board

  56. ralphm

“As per our bylaws, section 4, the Board shall be composed of 3 to 5 Directors. As there were only 4 candidates and all of them were elected, this means that we could declare a vacancy for a fifth Director, and elect them by majority vote of the Board, if we can find a candidate during our term. Let's discuss if we find this necessary.”

  57. arc

I guess that would depend on whether quorum is 50% or 51%

  58. arc

If 50% then keeping the board at 4 benefits us

  59. ralphm

The bylaws consistently talk about majority.

  60. ralphm

    So that is >50%

  61. arc

    Okay is someone interested?

  62. jcbrand

What other implications are there of declaring a vacancy? If the only purpose is to allow us to later add someone to the board is such a person appears, I don't see any reason not to do it

  63. ralphm

I am not aware. The question now is, do we feel we need to declare a vacancy?

  64. ralphm

We could also say 4 is enough for now and do this later

  65. MattJ

We've had such a vacancy for some time now, and apart from many meetings with no quorum we've got by okay

  66. MattJ

But I feel filling the gap would be good if we can

  67. ralphm

Right. As for quorum in meetings, I remember we had the same issue with 5.

  68. arc

Given that literally anyone could have nominated themselves and gotten in by default, I doubt there's anyone interested

  69. MattJ

    So, desired, but not urgent

  70. ralphm

We can also opt to actively recruit somebody in or outside our membership, or even community.

  71. ralphm

We've had that before, and I found that refreshing

  72. ralphm

So let's then think about it a bit more.

  73. ralphm

    6. Date of Next

  74. ralphm

I propose we keep the schedule, so +1W.

  84. ralphm

Thanks all! Let's have a good year!

  85. ralphm bangs gavel

  86. MattJ

    Thanks!

  87. jcbrand

    🎉

  88. MattJ

Oh, not strictly a Board matter, but is anyone going to do anything FOSDEM-related this year?

  89. Kev

As a low-F aside, if Board would like to fill the fifth spot, it might be nice to give membership a poke (I realise Board can fill it themselves, but it seems it might be good to share the intent). And also low-F, it's quite nice if the Board agenda gets sent to members in advance.

  90. Zash

    +1 what Kev says

  91. ralphm

Ah, yes, I could have sent the agenda to Members. Will do so now, retroactively

  92. Kev

    Ta.

  94. mdosch

Is k9 borked or is this really a 0B attachement?

  95. Zash

mutt says [-- Attachment #2: [Board] First Meeting Term 2021/2022.eml --] [-- Type: message/rfc822, Encoding: 7bit, Size: 7.1K --] followed by the email

  96. mdosch

OK, so k9 is the culprit. Thanks.

  97. ralphm

    Wait k9 cannot do e-mails-as-attachments?

  98. mdosch

Not sure whether it can't or whether it's a local problem.

  99. Zash

Looks the same on my phone
