2. Election of Chair of the Board

Ad 2 + 3 As per our bylaws, section 6, we elect or appoint our Officers, namely Chair, Executive Director (& CEO), Secretary, and Treasurer. So far, this has usually been done by electing the Chair from among the Directors, and appointing (or reaffirming) the other Officers. However, as the bylaws indicate, each of these roles may be filled by non-members, and Board can choose how to appoint or elect then. I'd be happy to be candidate for Chair for another year. Matt, Alex, Peter, would you want to be re-appointed for another year?

4. Council Liaison

“I understand that Council is voted on Daniel as their Chair, with Jonas continuing to be their liaison to the Board. Kev remarked that initially the Council Chair was the automatic liaison. I don't have a problem with the arrangement proposed by Council. Let's discuss / confirm in the meeting.”

5. Vacancy on Board

“As per our bylaws, section 4, the Board shall be composed of 3 to 5 Directors. As there were only 4 candidates and all of them were elected, this means that we could declare a vacancy for a fifth Director, and elect them by majority vote of the Board, if we can find a candidate during our term. Let's discuss if we find this necessary.”

I guess that would depend on whether quorum is 50% or 51%

If 50% then keeping the board at 4 benefits us

The bylaws consistently talk about majority.

So that is >50%

Okay is someone interested?

What other implications are there of declaring a vacancy? If the only purpose is to allow us to later add someone to the board is such a person appears, I don't see any reason not to do it

I am not aware. The question now is, do we feel we need to declare a vacancy?

We could also say 4 is enough for now and do this later

We've had such a vacancy for some time now, and apart from many meetings with no quorum we've got by okay

Right. As for quorum in meetings, I remember we had the same issue with 5.

Given that literally anyone could have nominated themselves and gotten in by default, I doubt there's anyone interested

Oh, not strictly a Board matter, but is anyone going to do anything FOSDEM-related this year?

As a low-F aside, if Board would like to fill the fifth spot, it might be nice to give membership a poke (I realise Board can fill it themselves, but it seems it might be good to share the intent). And also low-F, it's quite nice if the Board agenda gets sent to members in advance.
